Acceptance of Terms

By accessing or using the EvionLabs website (evionlabs.ai), platform, APIs, documentation, or any associated services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and “you” refers to both you individually and that organization.

Service Description

EvionLabs provides a Physical AI platform that enables machines to perceive, reason, and act in real-world environments. Our services include embodied intelligence models, simulation environments, and hardware integration tools for robotics applications. The specific features and functionality available to you depend on your partnership agreement and use case.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. Planned maintenance and service changes will be communicated through our status page and standard notification channels.

User Obligations

You agree to:

  • Use the Services only for lawful purposes and in accordance with these Terms and applicable law
  • Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access
  • Not attempt to probe, scan, or test the vulnerability of the Services except as authorized under our Responsible Disclosure policy
  • Not reverse engineer, decompile, or disassemble any part of the Services
  • Not use the Services to transmit malware, conduct denial of service attacks, or engage in any activity that disrupts the Services
  • Comply with all applicable export control and sanctions laws in your use of the Services
  • Not resell, sublicense, or provide access to the Services to third parties without our prior written consent

Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, software, algorithms, models, and documentation — are owned by EvionLabs, Inc. or its licensors and are protected by United States and international intellectual property laws.

These Terms do not grant you any right, title, or interest in the Services or our intellectual property except for the limited license to use the Services as described herein. All rights not expressly granted are reserved.

You retain ownership of any data you upload to or process through the Services. You grant us a limited license to host and process that data solely to provide the Services to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVIONLABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO EVIONLABS DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES, OUR MAXIMUM LIABILITY SHALL BE ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the federal and state courts located in the Eastern District of Virginia. You consent to personal jurisdiction in these courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
